1. Agreement to Terms

By accessing or using the services provided by CyberLogic IT ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

CyberLogic IT provides IT consulting, custom computer system building, managed IT services, and technical support. Our services include but are not limited to:

• Managed IT services and support
• Network design and implementation
• Cybersecurity solutions
• Cloud services and migration

3. Service Agreements

Specific services may be governed by additional terms outlined in service agreements, quotes, or proposals. In case of conflict, the specific service agreement takes precedence.

4. Payment Terms

• Quotes: All quotes are valid for 30 days unless otherwise specified
• Payment: Payment terms will be specified in your service agreement or invoice
• Late Payments: Late payments may incur interest charges and service suspension
• Refunds: Refund policies vary by service and will be outlined in your agreement

5. Warranties and Guarantees

Custom-built computer systems come with component warranties from manufacturers. We provide:

• Full manufacturer warranties on all components
• 30-day workmanship guarantee on all builds
• Technical support as outlined in your service agreement

We make no warranties beyond those expressly stated. Services are provided "as is" unless specified otherwise.

6. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our liability is limited to the amount paid for the specific service
• We are not responsible for data loss; clients must maintain backups
• We are not liable for delays beyond our reasonable control

7. Client Responsibilities

As a client, you agree to:

• Provide accurate information and requirements
• Maintain regular backups of important data
• Follow our recommendations for security and best practices
• Provide timely access to systems when required
• Make timely payments as agreed

8. Intellectual Property

All content, designs, and materials created by CyberLogic IT remain our intellectual property unless explicitly transferred in writing. Upon full payment, clients receive a license to use deliverables as intended.

9. Confidentiality

We maintain strict confidentiality of client information and systems. We will not disclose your confidential information except:

• With your written consent
• As required by law
• To our subcontractors under confidentiality agreements

10. Service Suspension

We may suspend or terminate services if:

• Payment obligations are not met
• You breach these terms
• Your actions harm our systems or other clients
• Required by law

11. Termination

Either party may terminate ongoing services with written notice as specified in the service agreement. One-time services conclude upon completion. Termination does not waive payment obligations for services rendered.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated date. Continued use of our services constitutes acceptance of revised terms.

13. Governing Law

These terms are governed by the laws of Victoria, Australia. Any disputes will be resolved in the courts of Melbourne, Victoria.

14. Dispute Resolution

In the event of a dispute, parties agree to:

• First attempt resolution through direct negotiation
• Consider mediation before litigation
• Bear their own costs unless awarded by a court

15. Severability

If any provision of these terms is found unenforceable, the remaining provisions will remain in full effect.

16. Entire Agreement

These terms, along with specific service agreements, constitute the entire agreement between you and CyberLogic IT.
